Terms of Service

Effective: May 10, 2026. By creating an account or using Leadity, you agree to these Terms. If you don't, please don't use the Service.

1. About Leadity and These Terms

Leadity ("Leadity", "we", "us") provides AI-powered DM sales infrastructure that connects to your Instagram, Messenger, and other supported messaging platforms to qualify leads, handle objections, follow up, and route conversations to your sales stack. These Terms of Service (the "Terms") form a binding agreement between Leadity and the person or entity using the Service ("you", "Customer").

2. The Service

The Service includes the Leadity dashboard, the AI message processing pipeline, the webhook receivers and integrations with third-party messaging platforms, the metrics and reporting features, the API and MCP endpoints, and any related documentation. We may add, change, or remove features at any time. Material changes that reduce existing functionality are communicated in advance whenever practical.

3. Eligibility and Account Registration

You must be at least 18 years old and able to enter into a binding contract. If you sign up on behalf of a company, you represent that you have authority to bind that company. You agree to provide accurate information at sign-up and to keep it current.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at business@leadity.io if you suspect unauthorised access.

4. Connected Accounts and Platform Compliance

Leadity operates on top of third-party messaging platforms (Meta Instagram and Messenger today; others as we add support). When you connect a social account, you authorise us to use the corresponding OAuth tokens to send and receive messages on your behalf, fetch contact profiles, manage ice breakers, and read insights where you opt in.

You agree to comply with the platforms' own terms — including Meta's Platform Terms, Developer Policies, and the Instagram Community Guidelines — when using Leadity. You acknowledge that platforms may rate-limit, suspend, or revoke access to your accounts for reasons outside Leadity's control, and that we cannot guarantee uptime or deliverability of any individual message.

By connecting a Meta-owned service to Leadity, you hereby additionally consent to, and agree to be bound by, Meta's Terms of Service and platform policies that govern the specific service you connect — for example, the Instagram Terms of Use when you connect an Instagram account, or the Messenger / Facebook Platform Terms when you connect a Messenger or Facebook account — as those terms apply to your use of that service through Leadity. This consent is in addition to, and does not replace, any agreement you have directly with Meta. See our Ethics & Responsible Use Policy for the standards we expect when operating on these platforms.

5. Operators, Teams, and Sub-Accounts

Organisations may invite team members ("Operators") to access their workspace. The organisation owner is responsible for the actions of every Operator they invite, including the messages those Operators' AI assistants send. Removing an Operator's account-level access does not retroactively undo messages already sent on the organisation's behalf.

6. Acceptable Use

You agree not to use the Service to:

  • Send spam, unsolicited bulk messages, or messages that violate anti-spam laws (CAN-SPAM, CASL, GDPR, etc.)
  • Violate Meta's Platform Terms, Instagram's Community Guidelines, or any other connected platform's rules
  • Impersonate another person or entity, or misrepresent the AI as a specific named human in a way that deceives the recipient about identity
  • Send unlawful, harassing, defamatory, hateful, or sexually explicit content, or content targeting minors
  • Promote illegal goods or services, weapons, narcotics, gambling where prohibited, or fraudulent investment schemes
  • Attempt to reverse-engineer, scrape, or otherwise compromise the integrity of the Service
  • Use the Service to compete directly with Leadity, including by training a competing AI on data extracted from the platform

Violations may result in immediate suspension or termination, and we may report serious violations to the relevant platform or authority.

7. AI-Generated Content and Human Oversight

The Service uses third-party AI providers (currently OpenAI, Anthropic, and Google) to draft replies on your behalf. AI output can be inaccurate, incomplete, or sound off-tone. You agree to configure your assistant's prompts, knowledge base, and guardrails before going live, and to monitor conversations regularly.

You are responsible for the content the AI sends from your accounts to the same extent you would be responsible for messages a human setter sent on your behalf. Leadity is not the speaker; you are. When the AI flags a conversation for human handoff, you should respond promptly — sustained silence on flagged conversations can itself be a platform-policy violation in some jurisdictions.

8. Customer Data and Conversation Content

"Customer Data" means the messages, contact profiles, conversation transcripts, lead-status snapshots, automation configurations, and other content that you, your Operators, or your contacts send through the Service. As between Leadity and you, Customer Data is yours.

You grant Leadity a worldwide, royalty-free licence to host, process, store, transmit, and display Customer Data solely to provide the Service to you, including the right to share Customer Data with the AI sub-processors required to generate replies. We will not sell or rent Customer Data, and we will not use Customer Data to train models that are used outside your account, except as described in our Privacy Policy.

9. Subscription Plans, Credits, and Billing

Leadity plans are billed via Stripe. Each plan includes a monthly allowance of US-dollar-denominated credits that fund AI calls, message processing, and other metered features. Credits do not carry over between billing cycles unless explicitly stated.

Top-up credits purchased outside a plan are non-refundable but do not expire while your account is active. When usage exceeds your balance, the AI pipeline is suspended for the affected accounts until you top up or your next billing cycle resets the allowance. We reserve the right to change pricing with at least 30 days' notice; existing billing cycles already paid for are unaffected.

10. Refunds

Subscription fees are non-refundable except where required by law. We may offer pro-rata refunds at our discretion for prolonged Service outages caused by Leadity (not by an upstream platform outage). Cancel any time from your dashboard — your access continues until the end of the paid period.

11. Suspension and Termination

You may terminate your account at any time. We may suspend or terminate your account immediately if you breach these Terms, violate platform policies, fail to pay, or use the Service in a way we reasonably believe is harmful to other users or to the platforms.

On termination, we delete your Customer Data within 30 days, except where retention is required by law. You can also explicitly delete a connected account from the dashboard at any time, which removes its conversations, contacts, and metrics; or disconnect it (which preserves the data so you can reconnect later).

12. Third-Party Services and Tools

The Service depends on third-party platforms (Meta Graph API), AI providers (OpenAI, Anthropic, Google), payment processors (Stripe), and infrastructure providers (Railway, Postgres, Redis). Their terms and privacy policies apply to the parts of the Service they power. We are not responsible for outages, data loss, or policy changes originating from these third parties.

13. Intellectual Property

Leadity, the Leadity logo, the dashboard interface, the AI processing pipeline, and all underlying source code, schemas, and documentation are the intellectual property of Leadity. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service for the duration of your subscription. Nothing in these Terms transfers any ownership of Leadity IP to you.

14. Feedback

If you send us feedback, suggestions, or feature requests, you grant us an irrevocable, royalty-free licence to use that feedback without restriction. We're not obligated to act on any feedback, but we appreciate it.

15. Confidentiality

Each party agrees to keep the other's non-public business and technical information confidential and to use it only to perform this agreement. Customer Data is treated as your Confidential Information and is governed by the Privacy Policy.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED REPLIES WILL BE ACCURATE, APPROPRIATE, OR ON-BRAND IN EVERY CASE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADITY'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF REVENUE, PROFITS, GOODWILL, OR DATA — EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY.

18. Indemnification

You agree to defend, indemnify, and hold harmless Leadity from any claim, loss, or expense (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms or applicable law, (b) your Customer Data, (c) the messages your AI assistant sends from your connected accounts, and (d) any dispute between you and a recipient of those messages.

19. Dispute Resolution and Governing Law

Any dispute arising out of or relating to these Terms is governed by the laws of the jurisdiction where Leadity is incorporated, without regard to conflict-of-laws principles. The parties agree first to attempt resolution through good-faith negotiation before filing any formal action.

20. No Agency, No Employment

Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship between you and Leadity. The AI assistant is a tool you operate; it is not your employee, and Leadity is not responsible for outcomes that depend on how you configure or supervise it.

21. Beta Features

We may make experimental features available marked "beta" or "preview". Beta features are provided as-is, may change or be discontinued, and are not covered by any uptime or performance commitment.

22. Changes to These Terms

We may update these Terms from time to time. Material changes are announced by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.

23. General Provisions

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. These Terms, together with our Privacy Policy and Cookies Statement, form the entire agreement between us about the Service. Failure to enforce a right is not a waiver of that right.

24. Notices

We give notices through email or by posting in the dashboard. You consent to receive electronic notices and agree they satisfy any legal requirement that notice be in writing. Notices to Leadity should go to business@leadity.io.
